• Board of Directors

  • From the Greenwood Chamber's Bylaws, Section 6.3 - BOARD ELECTIONS
The Board Chairperson shall appoint a Nominating Committee as defined in Article 8.7 no later than the August Board meeting and shall designate the Chairperson thereof.  No later than the October meeting the Nominating Committee shall present to the Board of Directors a slate of candidates to serve in order to replace the directors whose regular terms expire.  Each candidate must be an active member in good standing and must have agreed to accept the responsibilities of a director.
Immediately following the Board meeting at which the slate is presented, the President & CEO shall notify the membership by regular mail or electronic mail of the names of the persons so nominated and the right of petition.
Additional names of candidates for directors may be nominated by petition bearing the signatures of at least twenty-five (25) members of the Chamber.  Such petition shall be filed with the Nominating Committee within ten (10) days after notice has been given to those nominated.  The determination as to the legality of the petition(s) shall be made by the Nominating Committee.
If a legal petition is filed, the names of all candidates shall be arranged on a ballot in alphabetical order with instructions to vote for the number of candidate openings.  The President & CEO shall mail this ballot to all active members at least fifteen (15) days before the next regularly scheduled meeting of the Board of Directors.  The ballots shall be marked in accordance with the instructions printed on the ballot and returned to the Chamber office within ten (10) days.  The President & CEO shall be empowered to open and tally the returned ballots.  The Board of Directors at their next regularly scheduled meeting shall declare elected the candidates with the greatest number of votes.  Those Directors elected shall take office at the meeting of the Board of Directors in January.
If no petition is filed within the required time, the nominations shall be closed and the nominated slate of candidates shall be declared elected by the Board of Directors no later than the December Board meeting.
